1. Acceptance of Terms
By accessing or using the Unlock Client Portal ("Portal"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Portal.
These Terms constitute a legally binding agreement between you and Unlock Health ("we," "our," or "us") governing your use of the Portal.
2. Description of Service
The Portal is a secure file sharing platform that provides authorized users with access to files and documents stored in Google Shared Drives. The Portal is provided exclusively for business purposes related to your engagement with Unlock Health or its clients.
Access to specific files and folders is determined by permissions set in Google Drive. You will only have access to content that has been explicitly shared with your Google account.
3. User Accounts and Authentication
3.1 Account Requirements
To use the Portal, you must:
- Have a valid Google account
- Be granted access by an authorized administrator
- Maintain the security of your Google account credentials
3.2 Account Responsibility
You are responsible for all activities that occur under your account. You must immediately notify us if you become aware of any unauthorized use of your account or any other breach of security.
4. Acceptable Use
You agree to use the Portal only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Share your access credentials with any third party
- Attempt to access files or areas of the Portal you are not authorized to access
- Use the Portal to distribute malware, viruses, or other harmful code
- Attempt to circumvent any security measures or access controls
- Use the Portal in any way that could damage, disable, or impair the service
- Copy, redistribute, or publicly disclose confidential files without authorization
- Use automated tools to scrape, download, or harvest content from the Portal
- Violate any applicable laws or regulations
5. Intellectual Property
5.1 Portal Content
The Portal, including its design, features, and functionality, is owned by Unlock Health and is protected by copyright, trademark, and other intellectual property laws.
5.2 Shared Files
Files accessible through the Portal may be owned by Unlock Health, our clients, or third parties. Access to files does not transfer ownership or grant any license beyond the specific use authorized by the file owner. You must respect all intellectual property rights associated with shared content.
6. Confidentiality
Many files accessible through the Portal contain confidential and proprietary information. By accessing the Portal, you agree to:
- Maintain the confidentiality of all files and information accessed
- Use confidential information only for its intended purpose
- Not disclose confidential information to unauthorized parties
- Comply with any additional confidentiality agreements you have signed
7. Service Availability
We strive to maintain high availability of the Portal, but we do not guarantee uninterrupted access. The Portal may be temporarily unavailable due to:
- Scheduled maintenance
- Unplanned outages or technical issues
- Third-party service disruptions (Google, Cloudflare, etc.)
- Force majeure events
We reserve the right to modify, suspend, or discontinue the Portal at any time without prior notice.
8. Termination
We may suspend or terminate your access to the Portal at any time, with or without cause, and with or without notice. Reasons for termination may include:
- Violation of these Terms
- End of your business relationship with Unlock Health or our clients
- Request from an authorized administrator
- Security concerns
Upon termination, your right to access the Portal will immediately cease.
9. Disclaimer of Warranties
THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF CONTENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNLOCK HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PORTAL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Unlock Health and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Portal or violation of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Nashville, Tennessee.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Portal after any changes constitutes acceptance of the updated Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
